According to documents submitted to the U.S. Securities and Exchange Commission (SEC), the transaction structure between Nextpower and Prevalon Energy has been clarified.

The agreement includes a cash payment of $150 million, as well as Nextpower shares valued at $50 million. In addition, the agreement sets a contingent cash payment clause of up to $165 million, with the amount to be determined based on future performance targets. This complex consideration arrangement provides immediate financial support while linking part of the payment to future operational results, demonstrating the parties' deep consideration of risk sharing and incentive synergy in the transaction.
